TechWorld License Agreement

This TechWorld License Agreement ("Agreement") is entered into by and between [Your Name/Company Name] ("Licensor") and the user ("Licensee") who accepts the terms and conditions herein.

1. Grant of License:
Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the software identified below ("Software") in accordance with the terms and conditions of this Agreement.

2. Scope of Use:
Licensee may use the Software for any lawful purpose related to technology, including but not limited to software development, testing, personal or commercial use, and any other activity related to the improvement or innovation of technology.

3. Restrictions:
Licensee shall not:
a) Modify, translate, adapt, or create derivative works based on the Software;
b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Software;
c) Distribute, sublicense, lease, lend, or otherwise transfer the Software to any third party;
d) Remove or alter any copyright, trademark, or other proprietary notices from the Software.

4. Ownership:
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not convey to Licensee any ownership interest in the Software, but only a limited right of use in accordance with the terms and conditions herein.

5. Warranty Disclaimer:
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

6. Limitation of Liability:
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

7. Termination:
This Agreement shall remain in effect until terminated by either party. Licensee may terminate this Agreement by ceasing to use the Software and destroying all copies thereof. Licensor may terminate this Agreement immediately upon notice to Licensee in the event of a breach of any provision herein.

8. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflicts of law principles.

9. Entire Agreement:
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
